QP SOURCE PROFESSIONAL AGREEMENT
These terms and conditions (“Agreement”) govern your secure online access to those portions of the QP Professional Source website (“QP Professional)” for which you have purchased a subscription from Queen’s Printer, a branch of the Government of Alberta (“QP”).
2. User Registration
You may be registered as a corporation or an individual. If you are registered as a corporation, you are responsible for all individual users registered under the corporation and for their compliance with this Agreement.
You are responsible for ensuring that your registration information is complete and accurate, and is kept current. You may not register under a false name using false information. Any false, inaccurate or misleading information will be considered a breach of this Agreement.
You will keep your username and password secure, and will be responsible for any unauthorized access, collection, use and disclosure of personal information that results from you not keeping your username or password secret. You shall ensure that all use made of QP Professional using your username and password is in accordance with this Agreement.
3. Personal Information
QP does not automatically collect any specific personal information from you, such as your name, phone number or email address. The personal information you provide is collected under the authority of section 33(c) of the Freedom of Information and Protection of Privacy Act, and will be used for subscribing to QP Professional and creating a username and password.
4. Services and Support
Subject to the terms of this Agreement, QP shall, for each paid subscription, provide you with secure unlimited on-line access to QP Professional.
QP may, from time to time, make available to you any additional services on terms and at a fee determined by QP. If you purchase those additional services, the use of those services is to be governed by this Agreement, and may be subject to new terms and additional fees at QP’s discretion.
You acknowledge that QP may make scheduled or non-scheduled interruptions to QP Professional for the purpose of maintenance, updates, enhancements or modifications to QP Professional. When possible, QP will give advance notice of scheduled interruptions.
The acquisition, installation, maintenance and operation of all computer communication and other equipment facilities required by you, including all Internet related costs for the access to QP Professional are your responsibility and at your expense and risk.
5. Use of QP Professional and Copyright
You may use QP Professional to search or view all or part of QP Professional and to download onto a computer facility all or part of any document posted on QP Professional.
QP holds copyright on behalf of Her Majesty the Queen for all Alberta legislation. You may reproduce Alberta’s statutes and regulations posted on QP Professional without seeking permission and without charge, provided due diligence is exercised to ensure on the accuracy of the materials produced, and Crown copyright is acknowledged in the following format:

For all other documents posted QP Professional, reproduction is limited to the sole purpose of printing a single copy of those documents for internal use only.
You shall not save or permit any third party to save QP Professional or any part thereof for use with any information retrieval or storage program operated or on equipment forming part of your local terminal equipment or on any computer facility.
You shall not to rent, sell, lend, lease, distribute, transfer or sublicense the documents posted on QP Professional, (or any parts thereof) to any person in any format.
Any uses beyond those specified require the prior written permission of QP.
You shall pay to QP annually in advance the amounts identified for each subscription. Each subscription allows one user to make use of QP Professional. Additional subscriptions may be purchased by you for each additional user for each annual period.
Subscription fees may be changed by QP for any subsequent annual period.
In the event you fail to pay the fee when due, QP may immediately and without notice to you, terminate your subscription.
All fees paid by you are non-refundable, unless the Agreement is terminated by QP without cause, in which instance, any refund will be prorated.
7. No Warranties
QP Professional is provided “as is” without warranty of any kind, including warranty of fitness for a particular purpose. QP does not warrant the accuracy or the completeness of QP Professional, or that QP Professional will function without error, failure or interruption.
No action may be brought by any person against QP for any loss or damage of any kind caused by any reason or purpose including, without limitation, reliance on the functioning or accuracy of QP Professional.9. Renewal
Unless this Agreement expires or is terminated, it shall be automatically renewed for each subsequent annual period provided that you have paid the renewal fee.
Notwithstanding any other clause of this agreement, QP may, in its sole discretion, determine that a subscription will not be renewed or will be renewed subject to any terms QP considers appropriate.
QP may amend this Agreement at any time. By continuing to use QP Professional after the updated terms, you are deemed to have accepted the amended Agreement.
Notwithstanding any other clause in this Agreement, if you breach any term of this Agreement, QP, in its sole discretion, may terminate this Agreement, effective immediately and without notice to you, and you shall permanently delete any documents from QP Professional retained by you.
You may terminate your QP Professional account at any time with notice to QP. If you do so, you will no longer have access to QP Professional until you request and complete a new registration at a later date. No fees will be refunded to you if you terminate.
12. CommunicationsQP may send emails to you at the email address you provided when registering for QP Professional, including communications about your registration and account activity.
13. Governing Law
This Agreement shall be governed and interpreted in accordance with the laws in force in Alberta , and you agree and submit to the exclusive jurisdiction of courts in Alberta.
This Agreement may be not be assigned by you without the prior written consent of QP, and any attempt by you to assign any rights, duties or obligations which arise under this Agreement shall be void in the absence of such written consent.
Those provisions by which their nature are intended to survive termination or expiry of this Agreement shall survive.
